Prof. Dr. Andreas Binder

Andreas Binder advises companies and entrepreneurs, members of the board of directors and the executive management as well as investors in the areas of mergers and acquisitions (company acquisitions and succession planning), corporate law, corporate governance, public corporate governance and contract law.

He graduated from the University of St.Gallen with a degree in economics and a degree in law. He was admitted to the Bar in 1984 and received his doctorate from the University of Basel in 1987 for his Ph.D. thesis on “The constitution of the corporation”.

Andreas Binder has been working as a business lawyer since 1984. In 2004, he was appointed Honorary Professor at the University of St.Gallen. He also serves as the Director of the Corporate Governance Competence Centre at the Research Institute for International Management of the University of St.Gallen and is a lecturer for mergers and acquisitions, corporate law and corporate governance at the University of St.Gallen. Andreas Binder serves as a member of the core faculty of the University’s master programme “Strategy and International Management”, which between 2011 and 2022 has been ranked no. 1 in the Financial Times’ global ranking of master’s in management programmes for twelve years consecutively.

Andreas Binder is the co-editor of the comprehensive interdisciplinary work “Mergers & Acquisitions – Handbook for Strategists, Analysts, Consultants and Lawyers”, which was published in German in 2010 and revised and published again in 2016 by the Stuttgart-based publishing house Schäffer Poeschel. The revised third edition will be published in 2024.

In his capacity as chair and member of various boards of directors of industrial, commercial and financial companies, Andreas Binder has acquired extensive experience and expertise from a corporate perspective, co-orchestrated and supervised comprehensive change processes, led M&A transactions and became proficient in dealing with the diverse challenges as well as the advisory needs and expectations of members of the board of directors and executive management.

Since 2013, Andreas Binder has been a member of the Conference Board’s European Council on Corporate Governance.

Andreas Binder is married and has two adult children. He is currently excited about spending time with his four small grandchildren – and he loves to ski.
